Terms of Service

1. Acceptance of Terms

By accessing awakened-leads.com, submitting our contact form, or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use our website or services.

These Terms constitute a legally binding agreement between you and Awakened Leads LLC, an Ohio-registered limited liability company.

2. Description of Services

Awakened Leads LLC provides done-for-you AI revenue recovery services for home service businesses, including but not limited to:

• Lead Database Reactivation — AI-powered SMS and voice outreach to existing contact lists to generate booked appointments
• AI Receptionist — 24/7 automated call answering, lead qualification, and appointment booking
• Missed Call Text-Back — Automated SMS follow-up triggered by missed inbound calls
• CRM Pipeline Management — Lead tracking, follow-up automation, and pipeline visibility
• Multi-Channel Follow-Up — SMS, email, and voicemail drop sequences for lead nurturing
• Cold Email Campaigns — Outbound AI-written email sequences targeting prospective customers

Specific services, scope, and deliverables will be defined in a separate Service Agreement or Statement of Work signed by both parties prior to the commencement of any paid services.

3. Performance-Based Model

Awakened Leads operates on a performance-based model for Lead Database Reactivation services. This means:

• No upfront payment is required to initiate a reactivation campaign
• Fees are charged on a per-qualified-appointment-booked basis, at a rate agreed upon in writing before the campaign begins
• A "qualified appointment" is defined as a scheduled appointment with a legitimate prospective customer who agrees to receive a service visit or consultation from Client
• Awakened Leads reserves the right to define and verify qualification criteria in the Service Agreement

AI Receptionist, CRM Management, and other recurring services are priced on a flat monthly basis as described on our website. Monthly service fees are due at the beginning of each billing period.

4. Payment Terms

For performance-based services:

• Invoices for booked appointments will be issued within 5 business days of each appointment being confirmed
• Payment is due within 14 days of invoice date
• Late payments may be subject to a 1.5% monthly interest charge

For flat monthly services:

• Payment is due at the start of each billing period
• Services may be suspended for non-payment after a 7-day grace period
• No long-term contracts — clients may cancel monthly services with 14 days written notice

All prices are in USD. Awakened Leads reserves the right to update pricing with 30 days written notice to active clients.

5. No Guarantee of Specific Results

Results will vary based on factors including, but not limited to:

• The quality, age, and size of the Client's existing contact database
• The Client's industry, service area, and market conditions
• The Client's ability to follow up on and fulfill booked appointments
• External market factors outside Awakened Leads' control

Case studies and results displayed on our website represent actual client outcomes but are not typical or guaranteed for all clients. Past performance does not guarantee future results.

6. Client Responsibilities

To enable Awakened Leads to deliver services, Client agrees to:

• Provide accurate, lawfully obtained contact data for reactivation campaigns
• Ensure that contacts in the provided database have a prior business relationship with Client or have otherwise consented to receiving communications
• Respond to onboarding requests, form completions, and setup questions in a timely manner
• Inform Awakened Leads of any regulatory or compliance requirements specific to their industry or state
• Honor appointments booked by the AI system in a professional and timely manner

Client is solely responsible for ensuring their contact database was obtained in compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state laws.

7. Intellectual Property

All content, systems, AI models, campaign frameworks, scripts, and software used by Awakened Leads to deliver services remain the intellectual property of Awakened Leads LLC. Client receives a limited, non-exclusive license to use deliverables (such as campaign copy and CRM automations) for their own business purposes only.

Client may not reproduce, resell, or distribute Awakened Leads' systems, methodologies, or frameworks without written permission.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. Awakened Leads will not share Client's customer data, revenue figures, or proprietary business information with any third party except as required to deliver services (e.g., CRM platforms) or as required by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Awakened Leads LLC's total liability to Client for any claims arising out of or related to these Terms or our services shall not exceed the total amount paid by Client to Awakened Leads in the 3 months preceding the claim.

Awakened Leads shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue, even if advised of the possibility of such damages.

10. Termination

Either party may terminate a Service Agreement with 14 days written notice. Termination does not relieve Client of any payment obligations for services already delivered or appointments already booked.

Awakened Leads reserves the right to immediately terminate services if Client violates these Terms, engages in fraudulent activity, or provides false or illegally obtained contact data.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Ohio, and both parties consent to the personal jurisdiction of such courts.

12. Changes to These Terms

Awakened Leads reserves the right to modify these Terms at any time. If we make material changes, we will update the "Last updated" date at the top of this page and, where reasonable, notify active clients by email. Continued use of our services after any changes constitutes acceptance of the updated Terms.
